Terms of Service

Last updated: October 11, 2026

These Terms of Service (the “Terms”) are a legal agreement between you and HIRE LOCAL LLC, an Idaho limited liability company (“Hire Local,” “we,” “us,” or “our”), which operates Bokolator, the inventory tracking application available at https://app.bokolator.com and as an installable web app (the “Service”).

By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind it, and “you” also refers to that organization. If you do not agree, do not use the Service.

If you use the Service for personal, family, or household purposes rather than for a business, you are a “Consumer.” Section 18 describes additional rights that Consumers have.

Our Privacy Policy and Cookie Notice explain how we handle personal information and form part of these Terms.

1. Eligibility

The Service is designed for businesses and households to track their inventory and belongings. You must be at least 18 years old (or the age of majority where you live, if higher) and able to enter into a binding contract. The Service is not intended for anyone under 18, and you may not invite anyone under 18 to an organization.

You may not use the Service if applicable law prohibits you from doing so, including U.S. sanctions and export control laws.

2. Accounts and security

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your password and the devices you use to access the Service, and for all activity under your account.

Notify us promptly at support@bokolator.com if you suspect unauthorized access to your account.

Because the Service can keep a copy of your organization's data on your device so it works offline, protect your devices with a passcode and sign out of shared devices.

3. Organizations, roles, and team members

Inventory data in the Service belongs to an organization, which can represent a business or a household. The person who creates an organization is its Owner. Owners and Admins can invite others and assign roles (Owner, Admin, Editor, and Viewer) that control what each person can see and do.

The organization is responsible for the people it invites and their use of the Service. The Owner is responsible for the organization's subscription and billing and may transfer ownership to another member.

Members of an organization can see one another's names and roles and the history of changes each member makes. Removing someone from an organization ends their access to its data but does not delete their personal account.

4. Plans, free trial, and fees

  • Plans. We offer a free plan and paid subscription plans with different features and limits (for example, on items, team members, locations, and stock history). Current plans, prices, and limits are shown in the Service.
  • Free trial. New organizations receive a 14-day free trial of the Pro plan. No payment method is required. When the trial ends, the organization moves to the Free plan unless an Owner subscribes.
  • Billing. Paid subscriptions are billed monthly in advance, in U.S. dollars, through our payment processor, Stripe, and renew automatically each month until canceled. You authorize us, through Stripe, to charge your payment method for each renewal. Prices do not include taxes; you are responsible for applicable taxes, which may be added at checkout.
  • Price changes. We may change prices for future billing periods. We will notify the Owner by email or in the Service at least 30 days before a price increase takes effect. Continuing your subscription after the increase takes effect means you accept the new price.
  • Failed payments. If a payment fails, we will notify you and may allow a grace period to update your payment method. If payment is not received, we may move the organization to the Free plan.
  • Cancellation and no refunds. The Owner can cancel at any time from the Billing page. Cancellation takes effect at the end of the current billing period, and paid features remain available until then. Fees are non-refundable, and we do not provide refunds or credits for partial months, unused time, or unused features, except as described in Section 9 if we discontinue the Service, in Section 18 for Consumers, or where required by law.
  • Downgrades and limits. If your organization moves to a plan with lower limits (for example, after a trial ends, a cancellation, or a failed payment), your existing data is kept, but some features may become unavailable. If your organization is over any of the new plan's limits (items, members, or locations), it becomes read-only until you upgrade or reduce your usage to within those limits: you can still view, export, archive, and delete your data, remove members, and delete locations, but you cannot add, edit, restore, or import items or change quantities. Exceeding a limit never causes us to delete your data.

5. Your data

“Customer Data” means information you or your organization's members enter or upload into the Service, such as items, quantities, locations, categories, barcodes, photos, custom fields, notes, and stock history.

You (or your organization) retain all ownership rights in Customer Data. You grant us a worldwide, non-exclusive license to host, store, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service and as described in our Privacy Policy.

You are responsible for your Customer Data, including its accuracy and legality, and for having all rights and permissions needed to upload it. Do not upload sensitive personal information, such as health information, financial account numbers, or government identification numbers.

  • Export. You can export your organization's data to CSV files at any time while you have access.
  • Deletion. The Owner can delete the organization from Settings, which permanently deletes its Customer Data as described in our Privacy Policy. Export anything you want to keep first.

6. Acceptable use

You agree not to:

  • use the Service for anything unlawful, fraudulent, or infringing, or to store or share content you do not have the right to share;
  • access or attempt to access accounts, organizations, or data that are not yours, or probe, scan, or test the security of the Service without our written permission;
  • interfere with or disrupt the Service, including through malware, excessive automated requests, or attempts to bypass plan limits or rate limits;
  • resell, sublicense, or provide the Service to third parties, or reverse engineer it except where the law permits this despite this restriction;
  • use the Service to build a competing product, or to send spam or unsolicited messages, including through invitations.

We may investigate suspected violations and may suspend access or remove content that we reasonably believe violates these Terms.

7. Our intellectual property

The Service, including its software, design, and branding, is owned by Hire Local and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes or, if you are a Consumer, your personal and household purposes.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

8. Third-party services

The Service relies on third-party providers, such as Stripe for payments. Your use of those services may be subject to their own terms and policies. We are not responsible for third-party services we do not control.

9. Availability, changes, and discontinuation

We work to keep the Service available but do not guarantee that it will be uninterrupted or error-free. Maintenance, updates, provider outages, and events outside our control may cause interruptions.

We may add, change, or remove features at any time. Features labeled beta, preview, or early access, and the Service as provided during any beta program, are provided “as is” and may change or be withdrawn at any time without notice.

Discontinuation of the Service

We may discontinue the Service, in whole or in part, permanently or temporarily, at any time and for any reason or no reason, including for business, financial, technical, or legal reasons. When we do:

  • Notice. We will try to give the Owner of each organization at least 30 days' notice by email or in the Service before a permanent shutdown. We may give shorter notice, or none, where that is not reasonably possible, including when required by law, to address a security risk, because a provider we depend on stops its service, or because of other events beyond our reasonable control.
  • Exporting your data. During the notice period you may export your data to CSV. It is your responsibility to export anything you want to keep before the shutdown date. After that date we have no obligation to keep, return, or provide access to any Customer Data, and we may permanently delete it, along with account information, under our Privacy Policy, except where the law requires us to keep it.
  • Billing. We will stop charging renewals once we announce a permanent shutdown. If you have prepaid for a period that extends beyond the shutdown date, we will refund the unused portion of those prepaid fees on a pro-rata basis.
  • Sole remedy. That refund, if any, is your sole and exclusive remedy for the discontinuation of the Service. To the maximum extent permitted by law, we will have no other liability to you or any third party for discontinuing, suspending, or modifying the Service, including for any loss of data, profits, or business, or the cost of replacement services.
  • Transfer instead of shutdown. Instead of discontinuing the Service, we may transfer it, together with these Terms and the related Customer Data, to another operator that agrees to honor these Terms and our Privacy Policy, as permitted by Section 17. We will notify you before such a transfer.

When the Service is discontinued, these Terms end on the shutdown date, and the provisions that survive under Section 14 continue to apply.

10. Your responsibility for inventory decisions

The Service is a record-keeping tool. Quantities, low-stock alerts, notifications, barcode scans, and offline syncing depend on the information entered and on network and device conditions, and may be delayed, incomplete, or inaccurate. Changes made offline are uploaded when the device reconnects and may conflict with changes made elsewhere.

You are responsible for verifying counts and for your purchasing, sales, and other decisions. Do not rely on the Service as the only safeguard for items where a shortage could cause harm, such as medicines, medical, safety-critical, or perishable supplies.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY DATA WILL BE ACCURATE, SECURE, OR AVAILABLE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, INVENTORY, GOODWILL, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US $100.

These limitations do not apply to liability that cannot be limited or excluded by law.

13. Indemnification

You will defend and indemnify Hire Local and its members, employees, and agents against any third-party claim, and related losses and reasonable costs (including attorneys' fees), arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

14. Suspension and termination

You may stop using the Service at any time. The Owner can cancel the subscription and delete the organization, and any user can delete their account, from Settings.

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create risk or legal exposure for us or others, or if the law requires it. Where reasonable, we will give you notice and an opportunity to fix the problem first.

We may also end these Terms by discontinuing the Service as described in Section 9.

When these Terms end, your right to use the Service ends. Provisions that by their nature should survive (including payment obligations, the discontinuation terms in Section 9, disclaimers, limitation of liability, indemnification, and governing law) survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Idaho, USA, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, you agree to contact us at support@bokolator.com and try to resolve the dispute informally for at least 30 days.

Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Idaho, and you and we consent to their jurisdiction. To the extent permitted by law, claims must be brought individually and not as a plaintiff or class member in any class or representative proceeding.

If you are a consumer, nothing in these Terms limits rights you have under the mandatory consumer protection laws of your country of residence, including any right to bring claims in your local courts.

16. Changes to these Terms

We may update these Terms. If a change is material, we will notify Owners by email or in the Service at least 15 days before it takes effect, unless a change is required sooner by law or for security reasons. Continuing to use the Service after a change takes effect means you accept the updated Terms.

17. General

These Terms, together with our Privacy Policy and Cookie Notice, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may send notices to the email address on your account or display them in the Service.

These Terms are available in English and Spanish. If the versions conflict, the English version controls, except where local law requires otherwise.

18. Additional terms for Consumers

If you are a Consumer, the mandatory consumer protection laws of your country or state of residence apply in addition to these Terms. Nothing in these Terms limits rights you have under those laws, and any provision of these Terms, including in Sections 12, 13, and 15, applies to you only to the extent those laws allow.

  • Free plan and trial. The Free plan and the free trial never turn into a paid subscription automatically. You are charged only if you choose a paid plan.
  • Right of withdrawal. If you live in the European Union, Spain, or another country whose law gives consumers a right to withdraw from online purchases, you may withdraw from a paid subscription within 14 days of purchasing it, or within any longer period your local law provides, by emailing support@bokolator.com with a clear statement that you are withdrawing. By subscribing, you ask us to give you access to paid features immediately; if you then withdraw, we will refund what you paid less a proportionate amount for the days you already used, as the law permits.
  • Cancellation. You can cancel a paid subscription online at any time from the Billing page, as described in Section 4.
  • Where to bring claims. As described in Section 15, you may bring claims in the courts of your place of residence where your local law gives you that right.
